1. Definitions

2. Scope of Services

3. Ownership & Intellectual Property

• Client’s Work: The Client retains ownership of any content, including text, images, videos, logos, and other materials, that they provide to the Company for use in the services. The Client grants the Company a non-exclusive, royalty-free, worldwide license to use, modify, and distribute such content solely for the purpose of performing the services outlined in this Agreement.
• Upon full payment, the Client shall have a non-exclusive, non-transferable license to use the work for its intended purpose, subject to the terms of this Agreement.
• Limitations on Client’s Use: The Client agrees not to use any deliverables provided by the Company in a manner that violates intellectual property laws or the rights of third parties.
• Illegal or Unlawful Content: The Client warrants and represents that any content provided to the Company for use in the services will not infringe upon any third-party rights and will not be used for illegal, unlawful, or unethical purposes. This includes, but is not limited to, content that is defamatory, obscene, violates copyright or trademark laws, promotes violence, or violates any applicable laws.
• Company’s Rights: The Company reserves the right to reject, remove, or modify any content that, in its sole discretion, is deemed to be illegal, harmful, or in violation of this Agreement. The Company further reserves the right to terminate services immediately if the Client engages in any unlawful activities or provides content that violates any law or third-party rights.
• Indemnity: The Client agrees to indemnify, defend, and hold harmless SK Digital Solutions, its employees, and affiliates from any and all claims, damages, liabilities, or legal fees arising from the use of content that infringes upon the rights of third parties, or violates any laws or regulations.
4. Payments & Fees
• All fees must be paid in full before any work begins unless otherwise agreed in writing.
• Late payments may result in service suspension and additional late fees.
• Any additional work outside the agreed scope will be charged separately.
• SK Digital Solutions reserves the right to adjust pricing at any time, with prior notice to ongoing clients.
5. No Guarantee of Results
• While SK Digital Solutions implements industry best practices, the Company does not guarantee specific results, sales, or lead conversions.
• The Client acknowledges that digital marketing effectiveness varies due to factors beyond the Company’s control, such as market conditions and competition.
6. Client Responsibilities
• The Client must provide all necessary access, information, and approvals required for service execution.
• Delays caused by the Client (e.g., failure to provide materials or approvals) will not impact the agreed payment schedule.
• The Client is responsible for ensuring that any provided content complies with legal and advertising standards.
7. Confidentiality & Non-Compete
• Both parties agree to keep all business and proprietary information confidential and shall not disclose any such information to any third parties without prior written consent, except as required by law.
• The Client agrees not to work directly with any freelancers, employees, or subcontractors of SK Digital Solutions for a minimum of 12 months after project completion.
8. Limitation of Liability
• SK Digital Solutions is not responsible for any indirect, incidental, or consequential losses arising from service use.
• The Company’s liability is limited to the total amount paid by the Client for the specific service in question.
9. Claims for Damages
• Any claim for damages must be submitted in writing within 7 days of the issue arising.
• The claim must be accompanied by clear, verifiable documentation to substantiate the issue.
• Only claims related to verifiable service errors will be considered. Claims regarding subjective dissatisfaction, lack of expected results, or indirect losses will not be accepted.
• Failure to submit a claim within 7 days or provide sufficient evidence will result in the claim being rejected, and no compensation will be provided.
10. Force Majeure
• SK Digital Solutions shall not be liable for failure to perform any obligations due to causes beyond its control, including but not limited to government actions, changes in social media platform policies, natural disasters, or cyberattacks.
11. Cancellations & Termination
• SK Digital Solutions may terminate a contract at any time if the Client breaches these terms.
• If the Client cancels a service after work has commenced, no refunds will be provided.
• Outstanding payments must be settled immediately upon contract termination.
12. Amendments & Updates
• SK Digital Solutions reserves the right to update these Terms & Conditions at any time without prior notice.
• Continued use of services after an update constitutes acceptance of the revised terms.
13. Governing Law & Jurisdiction
• These Terms & Conditions are governed by the laws of the United Kingdom.
